Terms of Service

1. Definitions

• “We”, “us”, “WCPAY” — the operator of wcpay.us and provider of the plugin.
• “You”, “Merchant” — the individual or entity holding a licence.
• “Plugin” — the WCPAY High-Risk Payment Gateway software for WordPress and WooCommerce.
• “Licence” — the right to use the Plugin under a Monthly, Annual or Lifetime plan.
• “Payout” — the transfer of settled funds in USDT to your nominated wallet.

2. Eligibility

You must be at least 18 years old and legally able to enter into contracts. The Services are intended for business use. You confirm that your store, products and activities comply with all laws applicable to you and to your customers.

3. Licence Grant

Subject to payment and continued compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to install and use the Plugin on the number of websites permitted by your plan.

3.1 Restrictions

You may not:

• Resell, sublicense, rent, lease or distribute the Plugin.
• Copy, decompile, reverse-engineer or create derivative works, except where such restriction is prohibited by law.
• Remove, obscure or alter any copyright, licence or attribution notice.
• Share, publish or reuse a licence key beyond the sites permitted by your plan.
• Circumvent, disable or tamper with licence validation or security mechanisms.

4. Licence Activation and Validation

The Plugin periodically contacts our servers to validate your licence, transmitting the site URL, plugin version and WordPress/WooCommerce versions. If validation fails or a licence expires, payment features may stop working until the licence is renewed or reactivated.

5. Fees, Billing and Renewal

• All prices are stated in US dollars and exclude any taxes or duties that may apply to you.
• Monthly and Annual plans renew automatically until cancelled.
• You may cancel at any time; cancellation takes effect at the end of the current billing period.
• An API partner fee of approximately 4.5% may apply to processed transactions. This fee is charged by our processing partners, not by the Plugin, and is subject to change.
• Failure to pay may result in suspension or termination of your licence.

7. Payouts and Wallet Address

Settled funds are paid out in USDT to the wallet address you configure in the Plugin settings.

Payout timing depends on the processing partner and network conditions. While payouts are normally near-instant, we do not guarantee a specific settlement time.

8. Acceptable Use

You must not use the Services in connection with:

• Goods or services that are illegal in your jurisdiction or your customers’.
• Fraud, money laundering, terrorist financing or sanctions evasion.
• Child exploitation material, human trafficking, or non-consensual content.
• Weapons, explosives, or controlled substances where prohibited.
• Ponzi schemes, pyramid schemes, or deceptive investment offerings.
• Deliberate deception of customers about identity, pricing or terms.

We may suspend or terminate any account we reasonably believe breaches this section, without notice and without refund.

9. Merchant Obligations

• Maintain a lawful, accurately described store and honour your own refund and delivery policies.
• Publish your own privacy notice and terms for your customers.
• Keep WordPress, WooCommerce and the Plugin reasonably up to date.
• Secure your own hosting, credentials and wallet.
• Handle your customers’ data protection requests, since you remain their data controller.

10. Support

Support is provided by e-mail at support@wcpay.us for active licences, normally within 24 hours on business days. Support covers installation, configuration and defects in the Plugin. It does not cover custom development, third-party plugin conflicts, server administration, or issues caused by modified Plugin code.

11. Intellectual Property

The Plugin, website, documentation, branding and all related materials remain our exclusive property and are protected by copyright and other laws. These Terms grant a licence to use, not a transfer of ownership. All rights not expressly granted are reserved.

12. Third-Party Services

The Services depend on third parties including payment processors, blockchain networks and hosting providers. We do not control these services and are not responsible for their availability, fees, decisions or failures. Their own terms apply to your use of them.

13. Disclaimer of Warranties

The Services are provided “as is” and “as available”, without warranty of any kind, whether express, implied or statutory, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that the Services will be uninterrupted, error-free, secure, or compatible with every configuration, nor that any particular transaction will be approved or any payout completed within a given time.

14. Limitation of Liability

To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential or punitive damages, nor for loss of profits, revenue, data, goodwill, or business opportunity, arising from or related to the Services.

Our total aggregate liability for any claim shall not exceed the amount you paid us for the licence during the twelve months preceding the event giving rise to the claim.

Nothing in these Terms excludes liability that cannot lawfully be excluded, including for fraud or death or personal injury caused by negligence.

15. Indemnity

You agree to indemnify and hold us harmless from any claim, loss, liability or expense (including reasonable legal fees) arising from your use of the Services, your breach of these Terms, your products or content, or your violation of any law or third-party right.

16. Suspension and Termination

We may suspend or terminate your licence immediately if you breach these Terms, fail to pay, or use the Services unlawfully. You may terminate at any time by cancelling your plan and uninstalling the Plugin.

On termination, your right to use the Plugin ends and you must remove it from all sites. Sections that by their nature should survive — including intellectual property, disclaimers, limitation of liability, indemnity and governing law — continue to apply.

17. Changes to the Services and Terms

We may modify, suspend or discontinue any part of the Services, and may update these Terms to reflect changes in our business, technology or the law. The revision date at the top of this page always shows the current version. Material changes will be announced here and, where appropriate, by e-mail. Continued use after an update constitutes acceptance.

18. Governing Law and Disputes

These Terms are governed by the laws applicable at our place of establishment, without regard to conflict-of-law rules. Before commencing formal proceedings, you agree to contact us at support@wcpay.us so we can attempt to resolve the matter informally within 30 days.

19. General

• Entire agreement — these Terms, with the Privacy Policy, form the whole agreement between us.
• Severability — if a provision is held unenforceable, the remainder stays in force.
• No waiver — failure to enforce a right is not a waiver of it.
• Assignment — you may not assign these Terms without our written consent; we may assign them in a merger or sale of assets.
• Force majeure — neither party is liable for delays caused by events beyond reasonable control.
